7. Confidentiality

If you become an employee of NWRU or access our portal as a registered user, you may have access to information that is confidential to our business. Confidential information means any non-public information relating to our business operations, processes, client relationships, pricing structures, systems and technology that is either marked as confidential or that a reasonable person would understand to be confidential.

You agree:

  • to keep such confidential information secure and not to disclose it to any third party without our prior written consent, unless required by law
  • not to use confidential information for any purpose other than in connection with your engagement with us
  • that this obligation of confidentiality continues after your relationship with us ends

This clause does not prevent you from making a protected disclosure (commonly known as “whistleblowing”) in accordance with the Employment Rights Act 1996 or from disclosing information where required by law, regulation or court order.

8. Employment-Related Matters

We enter into contracts of employment with individuals who work through our umbrella payroll service. The terms of that employment relationship are governed by your individual contract of employment and are separate from these website Terms.

If you wish to terminate an assignment or your employment with us, please refer to the notice provisions in your contract of employment.

Nothing in these website Terms creates, varies or supersedes any term of your contract of employment.

9. Third-Party Links

Our website may contain links to third-party websites, services or resources. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage that may arise from your use of them.

The inclusion of a link does not imply endorsement by us of the linked website or any association with its operators.

10. Tools and Calculators

Our website provides tools including a take-home pay calculator and a decision tool to help you understand your options. These tools produce estimates based on the information you provide and standard assumptions.

The outputs of these tools are for illustrative purposes only and do not constitute a guarantee of your actual take-home pay or a recommendation as to which service is appropriate for you. Actual figures may differ depending on your individual tax circumstances, HMRC coding, pension elections and other factors. You should not make employment or financial decisions based solely on the output of these tools.

11. Limitation of Liability

Nothing in these Terms excludes or limits our liability for:

  • death or personal injury caused by our negligence
  • fraud or fraudulent misrepresentation
  • any other matter for which it would be unlawful for us to exclude or limit our liability

Subject to the above, and to the maximum extent permitted by law:

  • we exclude all implied conditions, warranties, representations or other terms that may apply to our website or any content on it
  • we will not be liable to you for any indirect or consequential loss or damage arising under or in connection with your use of, or inability to use, our website, whether in contract, tort (including negligence), breach of statutory duty, or otherwise
  • we will not be liable for any loss of profits, sales, business, revenue, anticipated savings, data, goodwill, or business opportunity
  • our total aggregate liability to you in respect of all other losses arising under or in connection with these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed £100

We are not responsible for the content of any information submitted by you or any third party to our website or portal.

These limitations apply whether or not we have been advised of or should have been aware of the possibility of any losses arising.

12. Privacy and Data Protection

We take the protection of your personal data seriously. Our collection and use of personal information is governed by our Data Protection (Privacy) Policy.

By using our website, you acknowledge that you have read our Privacy Policy and understand how we collect, use and protect your personal data in accordance with the UK GDPR, the Data Protection Act 2018 and the Data (Use and Access) Act 2025.

13. Cookies

14. Complaints

If you have a complaint about our website, our services or how we have handled your personal data, please contact us:

We will acknowledge your complaint promptly and aim to resolve it as quickly as possible.

If you are not satisfied with our response, you may be able to refer the matter to an alternative dispute resolution (ADR) provider. While we are not obliged to use ADR, we will consider doing so on a case-by-case basis and will inform you if we are willing to participate.

15. Severability

If any provision of these Terms is found by any court or competent authority to be invalid, unlawful or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted. Any modification to or deletion of a provision shall not affect the validity and enforceability of the remaining provisions.

16. No Waiver

A failure or delay by us in exercising any right or remedy provided under these Terms or by law shall not constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy.

17. Entire Agreement

These Terms, together with our Privacy Policy and any contract of employment or service agreement entered into between you and us, constitute the entire agreement between you and us in relation to your use of our website and supersede all previous agreements, understandings and representations relating to such use.

18. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, their subject matter or formation (including non-contractual disputes or claims). If you are a consumer resident in Scotland or Northern Ireland, you may also bring proceedings in the courts of the country in which you are resident.
