Your Guide to Opting In and Opting Out
Understanding the Conduct Regulations and what they mean for you as a contractor working through No Worries Red Umbrella.
What Are the Conduct Regulations?
The Conduct of Employment Agencies and Employment Businesses Regulations 2003 (commonly known as the Conduct Regulations) are a set of rules made under the Employment Agencies Act 1973. They govern how recruitment agencies and employment businesses operate in the UK.
The Regulations are designed to protect workers and hirers by ensuring fair and transparent practices in the recruitment industry. They set out requirements that agencies must follow when placing workers into assignments, including obligations around information, payment and conduct.
What Protections Do the Conduct Regulations Provide?
When the Conduct Regulations apply to your assignment, you benefit from a number of protections. In particular:

Payment protection
Your agency must pay you for work you have done, even if the agency has not yet received payment from the end client.

No restriction on future work
The agency cannot prevent you from working directly with the end client (or through another agency) after your assignment ends by using restrictive covenants.

No withholding of pay
The agency cannot withhold your pay in circumstances not permitted by the Regulations.

Transparency about your assignment
The agency must provide you with clear, specific details about the work being offered, the rates of pay, and any other relevant terms before the assignment begins.

No fees for finding you work
Agencies cannot charge you a fee for finding you an assignment or require you to purchase additional services as a condition of being placed.
The Regulations also require agencies to carry out certain checks before placing you, including verifying your identity and, where relevant, obtaining references and confirming any qualifications required for the role.
What Does “Opting Out” Mean?
The Conduct Regulations allow you to opt out of certain provisions. When you opt out, the protections listed above — such as guaranteed payment if the client defaults and protection from restrictive covenants — no longer apply to your assignment.
Opting out is permitted where:
- You are being supplied through a limited company (including an umbrella company such as No Worries Red Umbrella); and
- You are not working with individuals under the age of 18 or with vulnerable adults.
The opt-out must be agreed before you are introduced to the end client. If it is signed after the introduction, the opt-out may be invalid.
Our Default Position
When you join No Worries Red Umbrella, our default position is that you opt out of the Conduct Regulations. This is because opting out is standard practice across the umbrella and contracting industry and offers practical advantages for most contractors.
However, this is always your choice. You are free to opt back in at any time, and we will never pressure you either way. We want you to understand what opting out means so you can make an informed decision.
Pros and Cons of Opting Out
Advantages
Faster placement
Opting out reduces the administrative steps the agency needs to complete before you can start an assignment. This means you can often begin work more quickly.
Greater flexibility
Without the additional regulatory requirements, the assignment process is more streamlined for both you and the agency.
Industry standard
Most agencies and end clients expect umbrella contractors to opt out, and the process is well established.
Disadvantages
No payment protection if client defaults
If your agency doesn’t receive payment from the end client, you lose the regulatory protection that would otherwise require the agency to pay you regardless. (Note: as an employee of No Worries Red Umbrella, you are paid by us through payroll, which provides a degree of protection in practice.)
Restrictive covenants may apply
The agency may include clauses that restrict you from working directly with the end client, or through a competing agency, for a period after your assignment ends.
Fewer regulatory checks on the agency
Some of the oversight requirements that the Regulations impose on agencies will not apply, which means there may be less formal scrutiny of how the agency manages your placement.

Advantages
Payment protection
The agency must pay you even if the end client has not paid them.
No restrictive covenants
The agency cannot restrict your ability to work with the end client or use other agencies after your assignment ends.
Greater transparency obligations
The Regulations require the agency to follow more detailed processes around your placement, providing an extra layer of oversight.
Disadvantages
More paperwork and slower placement
The agency must complete additional steps before introducing you to the end client, which can delay the start of your assignment.
Temporary-to-permanent fees
If the end client wants to take you on as a direct employee or contractor, additional fee provisions under the Regulations may apply, which can complicate or discourage the transition.
Some agencies may prefer opted-out contractors
The additional requirements increase the agency’s administrative burden and liability, which some agencies prefer to avoid.
Health and Safety
Whether you opt in or opt out, your agency is required to share with you any health and safety information provided by the end client that is relevant to your assignment. This obligation applies regardless of your opt-in/opt-out status.
How to Change Your Decision
You can change your opt-in or opt-out status at any time. There is no penalty for changing your mind, and any fresh instruction you give will take effect from your next assignment.
Through the Employee Portal
If you are already registered with No Worries Red Umbrella, the quickest way to update your preference is through your employee portal:
- 1 Log in to the Employee Portal at portal.noworriesumbrella.co.uk/login
- 2 Navigate to the Opt In / Opt Out section for the relevant contract.
- 3 Select your preferred option and confirm with your electronic signature.
Important: Your new instruction will not take effect until you finish working in your current role. It will apply from your next assignment onwards.
To Opt Back In
If you have previously opted out and prefer not to use the portal:
- 1 Send a written notice to both No Worries Red Umbrella and your recruitment agency confirming your intention to opt back in.
- 2 A signed and dated letter or email is sufficient.
- 3 Once we receive your notice, we will confirm your decision and notify the agency promptly.

To Opt Out
If you are currently opted in and prefer not to use the portal:
- 1 Contact us and we will provide you with the opt-out form.
- 2 You will need to sign and return it before your next introduction to an end client for the opt-out to be valid for that assignment.
Please note that when you provide an opt-out, No Worries Red Umbrella Ltd also agrees to the opt-out on your behalf as your employer.
Important Points to Remember
Opting out is voluntary
No one — not us, not your agency — can require you to opt out. It is always your choice.
Your employment rights are unaffected
Your contract of employment with No Worries Red Umbrella, your right to be paid through payroll, your pension auto-enrolment, holiday pay and all other statutory employment rights remain exactly the same regardless of your opt-in/opt-out status.
Certain roles cannot be opted out
If your assignment involves working with individuals under 18 or vulnerable adults (for example, in social work, healthcare or education settings), the Conduct Regulations apply automatically and you cannot opt out.
Timing matters
The opt-out must be signed before introduction to the end client. If you sign an opt-out after you have already been introduced, the opt-out may not be valid, which could leave the agency in breach of the Regulations.
